Terms & Conditions.

These Terms and Conditions govern the supply of design and printing services by Keystone Print Limited ("we", "our", "us"), registered office 8880 321–323 High Road, Chadwell Heath, Essex, United Kingdom, RM6 6AX. By requesting a quotation or placing an order, you ("the customer") agree to these terms.

1. Definitions

In these terms:

  • "Services" means the graphic design, print, packaging, signage, sourcing and related services we provide
  • "Artwork" means any design, file or proof prepared for or supplied by the customer
  • "Order" means a confirmed instruction to proceed with the Services

2. Scope of services

We provide graphic design and commercial printing services, together with related services such as packaging, signage, apparel and global sourcing. The specific services to be provided will be set out in your quotation or order confirmation.

3. Quotations

Quotations are provided in good faith and are based on the information and specification supplied at the time. Quotations are valid for the period stated or, if none is stated, for 30 days. Changes to the specification, quantity or materials may result in a revised quotation.

4. Orders

An order is accepted once we confirm it in writing. All orders are subject to these terms, which take precedence over any other terms unless we agree otherwise in writing.

5. Customer approval process

Before production begins, we will provide proofs or designs for your approval. Production will only proceed once you have approved the artwork. It is the customer's responsibility to check all artwork thoroughly before approving it for production.

6. Artwork approval

Artwork approved by the customer is deemed final. We accept no responsibility for errors — including spelling, layout, images or colour — identified after approval has been given. We strongly recommend that customers review every element carefully before approving production.

7. Customer-supplied files

Where the customer supplies their own files, they must be provided in the format and specification we request and to a suitable quality for print. We are not responsible for the quality of output where issues arise from customer-supplied files, and additional charges may apply for correcting or reworking unsuitable files.

8. Colour variation

Colours displayed on screens and digital devices may differ from the final printed product due to differences in display calibration and the nature of print processes. Such variation is normal and is not considered a defect.

9. Print tolerances

Slight variations in colour, trimming, folding, binding and finishing are inherent in commercial print and are considered acceptable industry tolerances. Such variations are not defects and do not constitute grounds for rejection or refund.

10. Design revisions

Your quotation will specify any included design revisions. Additional revisions or changes requested beyond those included may be subject to further charges, which we will confirm before proceeding.

11. Intellectual property

All intellectual property rights in preliminary designs, concepts and working files remain our property unless expressly agreed otherwise in writing. Rights in final approved artwork transfer to the customer only upon full payment, and as set out in your order.

12. Copyright ownership

The customer warrants that any content, logos, images or materials they supply do not infringe the rights of any third party, and the customer indemnifies us against any claims arising from the use of such materials.

13. Portfolio usage rights

Unless the customer requests otherwise in writing, we reserve the right to display completed work in our portfolio, on our website and in marketing materials as examples of our services.

14. Confidentiality

Each party will keep confidential any non-public information disclosed by the other in connection with the Services, and will use it only for the purpose of fulfilling the order.

15. Payment terms

Full payment must be received before any design work, print production or other work begins, unless otherwise agreed in writing. Where credit terms are agreed in writing, payment is due in accordance with those terms.

16. Late payment

We reserve the right to charge interest on overdue amounts, and to suspend or withhold work or delivery, where payment is not made in accordance with the agreed terms.

17. Cancellation

If an order is cancelled after work has commenced, the customer will be liable for all work carried out and costs incurred up to the point of cancellation, including materials ordered and time spent.

18. Limitation of liability

To the fullest extent permitted by law, our total liability arising out of or in connection with an order is limited to the value of the affected order. We are not liable for any indirect, consequential or economic loss, including loss of profit, business or goodwill. Nothing in these terms excludes liability that cannot be excluded by law.

19. Customer responsibilities

The customer is responsible for providing accurate information and content, for checking and approving all artwork, and for ensuring that any materials they supply are lawful and cleared for use.

20. Force majeure

We are not liable for any failure or delay in performing our obligations where this is caused by circumstances beyond our reasonable control.

21. Governing law

These terms and any dispute arising from them are governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.

22. Entire agreement

These terms, together with your quotation and order confirmation, constitute the entire agreement between the parties and supersede any prior discussions or representations.

23. Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
